Terms and conditions of sale
These terms and conditions of sale (hereinafter the “Terms”) govern access to and use of the TenderFindr service, published by Vibecoder Labs, a company pending registration (hereinafter the “Publisher”). Any paid subscription or use implies unreserved acceptance of these Terms.
1. Purpose
These Terms define the conditions under which the Publisher provides the Client, whether a professional or, where applicable, a consumer (hereinafter the “Client”), with access to TenderFindr, an AI-powered assistance platform for responding to public tenders.
They prevail over any other document, unless special conditions are expressly accepted in writing between the parties.
2. Description of the service
TenderFindr notably enables: importing and analysing tender documents; extracting requirements and generating checklists; assisted drafting of technical proposals; exporting documents in Word and PDF formats.
The service is provided as SaaS (Software as a Service), accessible online via a web browser. The Publisher endeavours to ensure continuous availability of the service, without guaranteeing uninterrupted access for maintenance, updates or force majeure.
Content produced by the tool is generated automatically and must be reviewed, completed and validated by the Client before any use or official submission.
3. User accounts
Access to the service requires creating an account. The Client undertakes to provide accurate information and to keep it up to date. Login credentials are personal and confidential; the Client is responsible for any activity carried out from their account.
The Publisher reserves the right to suspend or delete an account in the event of a breach of these Terms, fraudulent use or unlawful use, after notification where possible.
4. Plans and pricing
TenderFindr offers several plans, the prices of which in force are shown on the Pricing page at the time of order:
- Free - limited access to discover the service without payment;
- Pay as you go - payment per full proposal (€49 excl. VAT), with no commitment;
- Essential - annual subscription (€290 excl. VAT) including 8 proposals usable within the year;
- Pro - annual subscription (€590 excl. VAT) including 25 proposals usable within the year;
- Intensive - annual subscription (€1,190 excl. VAT) including 60 proposals usable within the year. Beyond that, contact us to adapt your plan.
Prices are stated in euros excluding tax (ex-VAT). Applicable VAT is added on the invoice. The Publisher reserves the right to change its prices; any change applies to new subscriptions and, for ongoing subscriptions, at the end of the current billing period, with prior notice to the Client.
5. Payment
Payments are processed by Stripe, a secure payment service provider. The Client provides their bank details via the Stripe interface; the Publisher does not retain full card numbers.
Subscriptions are billed annually. Proposal credits may be used freely for 12 months from payment. For pay-as-you-go purchases, payment is due at the time of order. In the event of non-payment, the Publisher may suspend access to paid features after a formal notice that remains unanswered.
An invoice is issued and accessible from the Account area or sent by email to the address associated with the Client account.
6. Termination
The Client may terminate their subscription at any time from their Account area. Termination takes effect at the end of the current billing period; no pro-rata refund is due for the period already started, unless otherwise required by law.
The Publisher may terminate the contract in the event of a serious breach by the Client that is not remedied within fifteen days of written notice, or immediately in the event of fraud or unlawful use.
7. Withdrawal (professional clients)
Where the Client acts as a professional, the consumer right of withdrawal does not apply. The order is firm and final upon validation of payment.
For consumer Clients, the 14-day right of withdrawal applies in accordance with Articles L. 221-18 et seq. of the French Consumer Code, subject to statutory exceptions, notably where performance of the service has begun with the Client’s express agreement before the end of the period.
8. Liability relating to artificial intelligence
TenderFindr uses artificial intelligence models to produce analyses and draft responses. This content may contain errors, omissions or inaccuracies. The Publisher does not guarantee the accuracy, completeness or regulatory compliance of generated content.
The Client alone remains responsible for reviewing, correcting and validating all documents before any submission or use. The Publisher cannot be held liable for rejected applications, commercial losses or harm resulting from use of the produced content. See also the Disclaimer page.
9. Representation of the company and User liability
The User represents and warrants that they are authorised to represent the company whose details they enter (including the SIRET) and to prepare responses to tenders on its behalf. They undertake not to impersonate a third party or to enter the details of a company they are not authorised to represent. TenderFindr is a drafting assistance tool and does not submit any offer on the User’s behalf; the User alone remains responsible for the accuracy of information entered, the generated content, its verification and any submission. TenderFindr cannot be held liable for fraudulent or unauthorised use of the service.
10. Intellectual property
The Publisher retains all intellectual property rights in the TenderFindr platform, its code, brand, interface and documentation.
The Client retains ownership of the documents they import and of the content they produce or export via the service. They grant the Publisher a limited licence to process such content solely for the purpose of performing the service.
11. Personal data
Personal data collected in connection with the service is processed in accordance with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act. The terms of collection, processing and the Client’s rights are detailed in the privacy policy.
12. Governing law and disputes
These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing that, and subject to mandatory provisions applicable to consumers, exclusive jurisdiction is conferred on the courts of the Publisher’s registered office.
